Reporting to the VP Assistant General Counsel - Ethics & Compliance, this position develops, directs and promotes the execution of CDW’s Ethics and Compliance program and strategic plan and provides practical, business-oriented legal advice on a broad range of regulatory and compliance topics/issues.

Key Areas of Responsibility

  • Provide guidance and support for the development and execution of the Ethics and Compliance program’s global strategic goals and initiatives.
  • Build, cultivate, and drive a strong culture of high ethical standards of conduct as an organization, including developing and leveraging a network of ethics and compliance champions across the globe.
  • Integrate and closely coordinate with other risk and assurance functions, such as Coworker Services (HR), Internal Audit, and Enterprise Risk Management (ERM), to ensure effectiveness of CDW’s Ethics and Compliance Program.
  • Oversee and manage CDW’s confidential ethics and compliance hotline, including working with other key internal stakeholders to manage investigations; identifying key trends and outcomes; and developing reporting for CDW’s Audit Committee.
  • Lead development and execution of the Ethics and Compliance enterprise training and communication strategies, including global trainings addressing Code of Conduct, data privacy, discrimination and harassment, anti-trust, anti-bribery, and gifts and entertainment.
  • Oversee the ethics and compliance risk framework and lead the execution of ongoing risk assessment and monitoring activities.
  • Provide guidance and oversight of Ethics and Compliance related policy development and implementation, including CDW’s Code of Conduct.
  • Work cross-functionally and develop key internal relationships to provide practical advice and guidance on diverse regulatory and compliance matters, including anti-corruption, international trade, anti-trust and those impacting public sector sales.  
  • Build effective relationships with business leaders to become their go-to, trusted advisor on matters within function.  
  • Monitor legal and regulatory developments and proactively communicate with business leaders to provide updates on developments in an understandable manner, along with practical advice and guidance to navigate any resulting impacts to the business.
  • Identify and assist in development of process improvements that will facilitate effectively mitigating and managing legal business risks, reduce outside counsel costs, improve quality of service and ensure compliance with CDW’s legal requirements.
  • Assist in acquisition, divestiture and similar transactions, including integration of ethics and compliance into M&A diligence and post-close integration activities.
  • Assist with special projects and other matters as needed to support the Legal Department function and goals.
  • Proactively manage to CDW legal budget.
  • Participate as a full member of the corporate Legal Department staff.
  • Coordinate with corporate Legal Department to ensure consistency with corporate legal policies.
  • Work with paralegals and legal administrative staff in order to complete projects in an efficient manner.
  • Flexibility and dependability in daily work schedule required.
  • Additional projects and duties as assigned.
  • Travel periodically to CDW locations.

Education and/or Experience Qualifications

  • JD Degree from an accredited law school and 7 years of experience in a corporate/in-house ethics and compliance environment
    or
  • Master’s Degree in a related field and 8 years of experience in a corporate/in-house ethics and compliance environment

Required Qualifications

  • Demonstrated ability to develop, support, and continuously improve risk-based global ethics and compliance function, including experience in developing a culture of ethics and compliance, execution and continual improvement of a global ethics and compliance strategy, and managing an ethics and compliance hotline and routine to complex internal investigations.
  • Proven success in partnering with and effectively counseling clients on a wide array of ethics and compliance-related issues, such as anti-corruption, international trade, anti-trust, internal investigations and issues impacting public sector sales.
  • Ability to work autonomously, issue spot and provide incisive, practical and business-focused advice and counsel. Creativity and resourcefulness.
  • Strong problem-solving skills with a pragmatic orientation. Ability to balance strategic and tactical issues.  
  • Strong written and verbal communication skills, including the ability to clearly and concisely articulate complex concepts to non-lawyers and to interact with stakeholders of all levels, including senior management.
  • Demonstrated leadership talent, with the ability to motivate and interface with coworkers at all levels by virtue of keen business acumen, excellent judgment, professional competence, emotional intelligence, credibility, flexibility and personal integrity.
  • Exceptional interpersonal skills, with an ability to inspire trust and confidence with internal and external stakeholders.
  • Strong project management experience with a proven history of balancing competing priorities and ability to adapt to the changing needs of the business while meeting deadlines in a fast-paced environment.
  • Demonstrated ability to build and maintain strong cross-functional relationships with a variety of stakeholders.

Preferred Qualifications

  • Experience providing advice, guidance and counsel on international regulatory issues and/or within an international organization.
  • Experience working with compliance issues related to sales and technology solutions.
