To provide high quality, proactive and cost effective support to CDW attorneys and legal staff. All paralegals work under the direction of an attorney.

Key Areas of Responsibility    

  • Maintain computerized file database; track and monitor status of cases and documents for ongoing matters; communicate changes to in house attorneys or outside counsel.
  • Assist with special projects and support department operations.
  • Identify and communicate additional requirements, procedures or challenges at the time a project is assigned, together with recommended solutions and/or alternatives to complete the project efficiently.
  • Review and negotiate contracts in accordance with CDW’s internal department and legal requirements and established guidelines. (NDA’s, MSA’s SOW’s, Technology Licenses, SaaS, Sponsorships, Transportation Services, Miscellaneous)
  • Proofread contracts for accuracy.
  • Maintain contract files.
  • Create and maintain contract templates.
  • Maintain and update contract playbook.

Education and/or Experience Qualifications    

  • Bachelor's Degree
  • 5-7 years’ experience as a paralegal in a corporate or law firm setting with significant experience in contract review and negotiation, and supporting one or more essential functions of a corporate law department

Required Qualifications    

  • Qualified candidates must have high degree of initiative requiring little or no supervision, have great organizational skills, sound judgment and the ability to prioritize assignments, solve problems, and meet deadlines
  • Proficient in MS Word, Excel and Outlook
  • Strong verbal and written communication skills with the ability to effectively interact with all stakeholders.
  • Experience drafting legal documents
  • Strong interpersonal skills; team player with ability to deal effectively with individuals at all levels
  • Proven ability to maintain discretion and /or privilege
  • Working knowledge of corporate governance issues and company operations

Preferred Qualifications    

  • Paralegal certification
