Corporate attorney possessing skill sets and experience adaptable across a broad range of corporate and commercial matters, with deep expertise and broad experience in international M&A and civil law systems. Reporting to the Deputy General Counsel, International, M&A and Strategic Initiatives, this position provides practical, business-oriented legal guidance to facilitate successful M&A transactions, support the growth and compliance of our Mexican operations, and advise on a range of civil law matters.

Key Areas of Responsibility

M&A

  • Negotiate non-disclosure agreements related to M&A transactions.
  • Conduct independent searches on acquisition targets, including intellectual property assessments, litigation history, lien checks, good standing verifications, and management background checks.
  • Organize and review documents from the dataroom, coordinate with stakeholders and external counsel for further review, and ensure thorough documentation.
  • Monitor and manage timelines and deadlines for M&A activities, alerting stakeholders as needed.
  • Facilitate effective communication and ensure alignment among stakeholders throughout the M&A process.
  • Support the development and maintenance of an M&A legal toolkit, including a clause bank and playbook.
  • Contribute to the technology enablement of M&A processes, such as automating NDA reviews through AI.
  • Plan and execute legal integration strategies for acquired entities.
  • Assist with post-acquisition restructuring activities, including liquidation and intra-group mergers.
  • Support M&A-related legal training initiatives for internal teams.

Mexico

  • Adapt customer, partner, and vendor templates for Mexico.
  • Negotiate customer, partner, and vendor arrangements for Mexico.
  • Develop and implement corporate governance templates.
  • Support Mexican entity governance and tax, employment and operational compliance.
  • Contribute to investigations and audits related to Mexican operations.
  • Facilitate the launch and management of an ethics and compliance program in Mexico.
  • Assist with legal aspects of recruitment, retention, and termination processes for the Mexican team.
  • Support the creation, commercialization, and protection of intellectual property in Mexico.
  • Deliver legal training sessions related to Mexican operations and compliance.

Education and/or Experience Qualifications

  • License to practice law in Illinois.
  • At least five (5) years of M&A experience.
  • Mexican law expertise.
  • Fluency in English and Spanish.

Required Qualifications

  • Significant experience with a wide variety of commercial arrangements.
  • Solid experience with a broad range of legal issues spanning corporate practice.
  • Experience of working in a dynamic B2B sales or similar environment
  • Service-oriented attitude, high standards of ethics and professional integrity, passionate commitment, intellectual curiosity, growth mindset, and entrepreneurial spirit.
  • Proven ability to resolve complex legal issues practically and efficiently.
  • Sharp business acumen.
  • Advanced technology literacy.
  • Exceptional organizational and project management skills and the ability to work under pressure, prioritize, and manage workloads to meet deadlines in a challenging and fast-paced environment.
  • Team player who welcomes responsibility and effectively engages with others.
  • Disciplined attention to detail.
  • Ability to communicate effectively orally and in writing in a variety of settings.
  • Understanding and appreciation of the business value of diversity and inclusion.
  • Successful track record working with U.S.-based multinational public companies.
  • Experience working in, degreed or licensed in civil and/or hybrid law jurisdictions and living and working in countries outside of the UK.
