Reporting to the Supervisor of Contract Negotiations, the Sr. Contract Negotiator is the initial and/secondary point of contact to review, edit and negotiate non-disclosure agreements (NDAs), master sales agreements, terms and conditions of procurement solicitations (RFI, RFB, RFQ and RFP), and other legal documentation as necessary. The Sr. Contract Negotiator is also the primary point of contact for all internal and external communication regarding the contract agreements.

 

Key Areas of Responsibility

  • Act in a team lead capacity, assisting both Sales and Contract Negotiations peers in the acquisition and retention of clients who require written contracts to procure technology products and services as well as minimize operational and legal risk during the formation of contract agreements.
  • Draft, edit and negotiate complex sales agreements and procurement solicitations with minimal direction.
  • Coordinate the expertise of multiple internal departments into a strategic position to proceed with negotiations, minimizing risk and maximizing value to the organization.
  • Provide training and guidance to the Sales organization, Contract Negotiation peers, and other stakeholders regarding contract terms, review procedures, and negotiation strategies.
  • Address escalated issues as they arise, with appropriate collaboration with the Supervisor of Contract Negotiations and/or Manager of Contracts, where required.
  • Propose and assist with the development of tools for the enhancement of contractual processes and documentation.
  • Serve as a team mentor and peer reviewer to Contract Negotiators and Contract Negotiations Analysts.

Minimum Qualifications

  • Bachelor’s Degree
  • 6 years’ experience of CDW business and/or legal experience reviewing , drafting and negotiating of various kinds of transactional sales agreements or procurement solicitations (RFIs, RFBs, RFQs and RFPs).

OR

  • Master of Business Administration (MBA) or Juris Doctorate (JD) Degree
  • 5 years’ experience reviewing, drafting and negotiating complex IT segment agreements, including familiarity with business development, capture, and procurement solicitation processes.

Other Required Qualifications

  • Demonstrable IT product, contract, and customer knowledge.
  • Strong analytical skills with the ability to recognize and address both business and legal opportunities and risks.
  • Excellent verbal and written communications skills with a comprehensive command of contract terms and phrasing.
  • Proven ability to persuasively articulate positions throughout the negotiation process.
  • Illustrated ability to effectively interact, influence and gain acceptance of coworkers within different levels of the organization and within different departments.
  • Proficiency in Microsoft Office Suite and Adobe editing tools.
  • Exceptional attention to details.
  • Strong organizational skills.

Preferred Qualifications

  • Bachelor’s Degree and Paralegal or other Contracting Professional Certification
  • 7 years’ experience reviewing, drafting and negotiating complex IT segment agreements, including familiarity with business development, capture, and procurement solicitation processes.

OR

  • Master of Business Administration (MBA) or Juris Doctorate (JD) Degree
  • 5 years’ experience reviewing, drafting and negotiating complex IT segment agreements, including familiarity with business development, capture, and procurement solicitation processes.
